Commercial & Corporate Lawyer

On behalf of our client, Manpower Malta is looking for a Commercial & Corporate lawyer. The right candidate will play a key legal advisory role within a well-established csp, supporting both internal operations and client engagements. The lawyer will be an integral part of the Corporate and Compliance team and work closely with senior management, compliance officers, and external legal advisors.

Key Responsibilities:

  • Draft, review, and negotiate a variety of internal and external agreements, including NDAs, service agreements, shareholder and financing contracts, and other commercial legal documents
  • Ensure all legal documents meet compliance standards, legal best practices, and applicable Maltese and international regulations
  • Provide legal input and strategic advice on corporate governance, restructurings, company formations, mergers, and cross-border transactions
  • Monitor legislative and regulatory developments in Malta and other relevant jurisdictions, producing legal updates, internal briefings, and compliance guidance
  • Liaise with external legal counsel on complex matters, litigation issues, or jurisdiction-specific legal queries
  • Support cross-functional departments with legal and regulatory submissions, templates, procedures, and risk assessments
  • Lead and support the implementation of legal frameworks in areas such as corporate, tax, AML, data protection, and IP law
  • Advise company leadership and clients on potential legal risks and implement proactive solutions
  • Contribute to the continuous improvement of internal legal and regulatory processes and ensure legal accuracy across the organisation.

Requirements:

  • Masters degree in Law (LL.M. or equivalent) and admission to practice law in Malta
  • Minimum of 8 years experience with a strong background in corporate and civil law
  • Solid grasp of contract law, corporate governance, regulatory compliance, and risk management
  • Familiarity with gaming or technology sectors considered an asset
  • Experience with data protection and intellectual property law
  • Proven ability to manage legal teams, work independently, and collaborate across departments
  • Strong communication, analytical, and negotiation skills
  • Proficiency in Microsoft Office, CRM systems, and legal databases
